A GmbH and an AG differ in more than required capital. Owner visibility, transferability, governance and future investors also matter.

Capital is not the same as cost

Share capital generally remains an asset of the company. Formation costs are separate and cover structuring, documents, notary, commercial register, banking and other required functions.

Plan banking and operational readiness early

A registered company is not automatically operational. Corporate account, domicile, Swiss representation, accounting and internal responsibilities should form part of the plan.

Individual review
